Title: Deputy Company Secretary
We are excited to offer a fantastic opportunity for a Permanent Deputy Company Secretary offering hybrid working based onsite in Central London with travel across other Amey offices.
HOURS OF WORK: Monday to Friday, 37.5 Hours per week
Join our vibrant, inclusive community in Group Legal function reporting to and working closely with the Corporate Services Director. Deliver high-quality company secretarial and governance across the Amey group, ensuring effective administration of boards and committees, maintenance and integrity of corporate records and compliance with statutory and regulatory requirements.
The role combines technical governance expertise, strong drafting capability and effective stakeholder co-ordination to support business activities, corporate transactions and audit processes and contributes to the continuous improvement of governance processes, including through the effective use of technology and digital tools.
What you will do:
- Ensuring that Amey group governance is complied with across the various jurisdictions in which Amey operates supporting compliance with legal, regulatory and internal governance standards.
- Delivering board and committee governance support, including preparation of agendas and papers for meetings, minute taking and tracking of post meeting actions across subsidiary, joint venture and committee structures.
- Maintaining corporate records and statutory registers on the Diligent database and ensuring accurate and timely statutory filings at Companies House in line with regulatory requirements
- Supporting corporate transactions, including restructurings, financing arrangements and company changes, ensuring governance requirements are appropriately delivered
- Providing timely responses to corporate information requests (including KYC) and supporting stakeholders on the practical application of company law and internal governance requirements, escalating where appropriate.
- Contributing to the continuous improvement of corporate governance processes and controls, including demonstrating a keen interest in emerging technologies and AI, and identifying opportunities to improve efficiency, accuracy and insight within governance activities.

- Strong practical knowledge of company law and governance principles
- Experience in company secretarial or governance support within a group structure
- Experience supporting boards and/or committees
- Experience in developing, improving and supporting governance processes and systems, including digital or system-based improvements
- Exposure to corporate transactions or restructuring activity
- Experience managing corporate records and governance documentation
- Strong organisational skills with ability to manage multiple deadlines
- Ability to interpret and apply governance requirements pragmatically
- Professional communication skills, including engagement with senior stakeholders
- Strong stakeholder co-ordination and relationship management ability
- High level of accuracy and attention to detail
- Demonstrates interest in, and ability to leverage, technology and digital tools (including AI) to improve governance processes and outputs
- Chartered Governance Institute or comparable qualification
- Proficient at Microsoft packages and other IT software packages
- Good knowledge of the Companies Act, corporate governance best practice
